Reforming corporate governance has been examined from various theoretical perspectives including agency theory. This article is a synthesis of the extant practices and problems in corporate governance given the excesses and trust failures in the corporate governance, and provides the theoretical and practical rationale for including employees representation in corporate boards to achieve better performance, competitiveness and procedural justice.
